Website Terms

Version web-terms-1.2 · The Vlogi Ltd

1. Who we are and who these terms are for

The Vlogi Ltd (company no. 15040181), 109 Plumstead Common Road, London SE18 3AU ("we", "us").

These terms are for businesses only. You ("you") are the business placing the order. The person ordering confirms they are allowed to order on its behalf.

Your order summary (the package, prices, payment plan and what is included and excluded) forms part of these terms. If the two differ, the order summary applies.

2. What you are buying

The website: up to 5 agreed pages, designed for desktop and mobile; copy written from your brief; your venue, spaces, capacities, menus and packages; an enquiry form; a link to, or a simple supported connection with, your existing booking system; technical SEO and measurement basics; two consolidated revision rounds; publication; and 30 days of care from publication.

Not included unless we quote it and you agree in writing:

  • a custom booking system;
  • e-commerce;
  • multiple languages;
  • complex integrations;
  • large content migration;
  • ongoing SEO work.

Optional extras: the photo and video shoot (section 8), Express (section 7) and the care plan (section 10).

3. Prices and payment

Prices are in GBP. The Vlogi Ltd is not currently VAT registered, so no VAT is added.

You pay 50% to start (the deposit). The balance is due after you accept the site and before it is published. For a website and shoot order, the deposit and the balance each cover half of both. We never publish a site that is not paid in full.

Payments are taken securely by Stripe. We never ask for card details by email or phone.

4. Start date and timeline

We confirm your start date once your brief and materials are complete; your order page shows it. Your first draft is due within 5 working days of the start date.

If we are waiting for your brief, materials or feedback, the timeline pauses until we have them. Working days are Monday to Friday, excluding public holidays in England.

5. Feedback and revisions (website)

One person on your side approves the work and sends feedback in one consolidated message per round.

A revision is a change within the agreed scope. A new page, feature or language, or a change of a direction you have accepted, is an extension: we quote it before doing any work. Fixing something that does not match what we agreed is a defect fix and does not use a revision round.

Silence is never treated as approval of the website. If we are waiting for you, the project waits and we remind you.

6. The website guarantee

After you receive the first draft, you have 7 calendar days to decide.

  • To continue, accept the direction on your order page. The revisions then start.
  • To withdraw, tell us in writing (or use the button on your order page) within those 7 days. We refund your website deposit in full within 14 days. You must not use the design, copy or code of the unpaid site in any form.

The guarantee covers the website only. It does not cover a shoot (section 8) or Express (section 7).

If we hear nothing within the 7 days, the right to withdraw ends, but we do not treat your silence as approval: the project waits for your decision. If we hear nothing for 60 days after the first draft, we may close the order, and the deposit is then not refundable.

7. Express (optional)

Express means your first draft within 24 hours of a confirmed start, with a complete brief and materials. It costs £350, charged separately and only after we have checked your brief and confirmed that we can do it.

If we miss the 24 hours for a reason within our control, we refund the Express fee in full.

Express does not speed up a shoot, editing, revisions or publication.

8. Photo and video shoot (optional)

8.1 What is included: up to 4 hours on site, including set-up and pack-down; a 45–60 second film for your website; one vertical 15–30 second edit for Instagram; 10 edited photos; and travel within Greater London. Not included: raw files, FPV or drone footage, extra operators, models or a stylist, and extra days.

8.2 Booking. We agree the shoot date with you through our booking calendar; a date is booked only when it appears there. The shoot must take place within 90 days of your deposit; we remind you before that date. If it has not taken place by then for reasons on your side, it is treated as a cancellation less than 7 days before the shoot (8.4).

8.3 Your venue. At the booked time, the venue must be ready, accessible and lit as agreed, and you must have the permission of anyone who will be filmed (staff, guests, performers). Time on site counts from the booked start.

8.4 Rescheduling and cancellation.

  • You may move the shoot once free of charge if you tell us at least 2 working days before it. A later or further change costs £150.
  • If you cancel at least 7 days before the shoot, we refund the shoot part of your deposit.
  • If you cancel less than 7 days before, do not attend, or the venue is not ready, the shoot part of your deposit is not refundable.
  • If we have to cancel, we offer you a new date or refund everything you paid for the shoot.

8.5 Delivery, revisions and approval. The first edit of the film, the vertical edit and the photos is delivered within 10 working days of the shoot. You get two revision rounds on the film and two on the vertical edit; the photos are reviewed together with the film. A round is one consolidated set of feedback sent within 5 working days of receiving an edit. If we receive no feedback within that time, that edit counts as approved. Extra rounds cost £150 each.

8.6 Use. Once the order is paid in full, you may use the film, the vertical edit and the photos on your website and your organic (unpaid) social media, with no time limit. Using them in paid advertising (paid social, sponsored posts or any other media buying) needs paid media rights, which we quote separately; the music is cleared for website and organic social use only. We keep the copyright and the camera originals. We may show the finished work in our portfolio once you have published it, unless you ask us not to in writing before the shoot.

8.7 The shoot and the website guarantee. If you withdraw from the website under section 6 after the shoot has taken place, the shoot is not refunded: the shoot balance becomes due, and once it is paid you keep the shoot deliverables under 8.6. If the shoot has not yet taken place, you may cancel it under 8.4.

8.8 For anything about the shoot that these terms do not cover, our Production Terms (thevlogi.com/terms/) apply. Where they differ, these terms apply.

9. Your domain, accounts and materials

Your domain stays in your name and your account. Our brief explains how to give us access without sharing passwords; please never send us a password by email.

You confirm that you own, or may use, everything you send us (logos, photos, menus, text and music).

Once you have paid in full, we hand over the site's code and the materials covered by the order, subject to third-party licences. Ownership of your site never depends on the care plan.

10. Care plan (optional)

£49 a month, only if you choose it, starting after your site has been live for 30 days. It covers hosting of a standard site, monitoring of the site and enquiry form, backups and restore, up to 30 minutes of small changes a month (not carried over) and a reply within 2 working days. It is not 24/7 support.

You can cancel future renewals at any time. We then hand the site over in an orderly way, with a clear date when our hosting ends.

11. Data

We use your details to deliver your order, as described in our Privacy Policy.

Where your site collects your guests' personal data (for example through the enquiry form), you are the controller and we act as your processor. When we do, we:

  • process that data only on your documented instructions (these terms and your brief);
  • keep it confidential, and make sure anyone with access is bound by confidentiality;
  • protect it with appropriate technical and organisational security;
  • use sub-processors (such as our hosting and email providers) only on terms that protect the data in the same way; you authorise the ones we use, and we tell you before we change them;
  • help you answer requests from the people concerned, and tell you without undue delay about any personal data breach;
  • delete or return the data when our service ends, unless the law requires us to keep it;
  • give you the information you need to show that these obligations are met.

12. Liability

Nothing in these terms limits liability that the law does not allow to be limited, including for death or personal injury caused by negligence, or for fraud.

Otherwise, our total liability arising from an order is limited to the greater of the total price of that order and £5,000. We are not liable for indirect or consequential loss, or for loss of profit, revenue, opportunity or anticipated savings.

Neither of us is responsible for delays or failures caused by events outside reasonable control. The affected work is then paused, adapted or rescheduled.

13. Law

These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction.
